1. Agreement and eligibility

These Terms of Service (“Terms”) are an agreement between Illumetric Technologies AB, organisation number 559497-2886, of Pontus Ols Väg 8, 263 61 Viken, Sweden (“Illumetric”, “SideRelay”, “we”, or “us”), and the business or professional organization accepting them (“Customer”, “you”, or “your”). They govern the SideRelay websites, applications, APIs, event relay, managed tracking features, and related support (the “Service”).

You accept these Terms by creating an account, accepting an order that refers to them, or using the Service. If you accept for an organization, you confirm that you can bind it. SideRelay is for business and professional use, and users must be at least 18 years old. If you do not agree, do not use the Service.

An online subscription, order form, or other written order accepted by us (an “Order”) may state plan limits, prices, subscription periods, support, or other terms. The Order controls if it conflicts with these Terms.

2. Accounts and authorized users

You must provide accurate account and organization information and keep it current. You are responsible for your users, roles, websites, domains, sources, API keys, connected platforms, and activity under your account. Remove access promptly when a person is no longer authorized.

Keep credentials confidential, use reasonable account security, and notify us promptly at [email protected] if you suspect unauthorized access. We may require verification before changing sensitive account details or releasing data.

3. What SideRelay provides

SideRelay receives tracking events, applies customer-configured validation, consent and event rules, and attempts delivery to selected analytics, advertising, or webhook destinations. The Service may also provide managed Web Google Tag Manager workflows, tracking-domain setup, hosting, event activity, quality checks, retries, reports, and alerts.

Features may differ by plan or deployment. We may improve or replace features while preserving the Service's main purpose. Beta, preview, or free features may change or end and do not carry a service-level commitment unless an Order expressly says otherwise.

4. Your tracking responsibilities

You are responsible for:

  • having the rights and legal basis needed to collect and send Customer Data;
  • providing accurate privacy and cookie notices and collecting consent where required;
  • configuring consent states, event rules, destinations, and access permissions correctly;
  • using only websites, domains, ad accounts, containers, and credentials you are authorized to control;
  • the accuracy and legality of event names, identifiers, conversion values, and other data sent through the Service; and
  • testing changes before publication and reviewing warnings, failed deliveries, and connected platform results.

SideRelay can help apply your choices, but it does not decide your legal basis, replace legal advice, or make a tracking setup compliant by itself.

5. Acceptable use

You must not use the Service to:

  • break the law, platform rules, or another person's rights;
  • track people without a required notice, choice, or legal basis;
  • send passwords, complete payment-card data, unlawful special-category data, or data that is not reasonably needed for tracking;
  • access accounts, systems, domains, or data without authorization;
  • distribute malware, probe security, evade usage controls, or disrupt the Service;
  • misrepresent events, consent, identity, attribution, or conversion values;
  • resell or provide the Service to third parties unless your plan allows agency use; or
  • use the Service to build a competing product through automated extraction.

We may investigate suspected abuse and limit or suspend the affected source or account when reasonably necessary to protect people, providers, or the Service.

6. Customer Data

“Customer Data” means tracking events, configuration, credentials, content, and other data you or your users submit to the Service. You retain your rights in Customer Data. You grant us a limited right to host, copy, transmit, transform, and otherwise process it only as needed to provide, secure, maintain, and support the Service and as required by law.

You confirm that your instructions and Customer Data do not violate law or third-party rights. We do not sell Customer Data. We may use anonymized or aggregated service statistics that do not identify the Customer or an individual to operate and improve SideRelay.

7. Data-processing terms

When Illumetric processes personal data in Customer Data on your behalf, you are the controller and Illumetric is the processor. These paragraphs form the parties' data-processing terms for that processing unless a signed Data Processing Agreement or Order replaces them.

  • Instructions: we process personal data only to provide the Service under these Terms, the Order, your in-product configuration, support requests, and applicable law. We will inform you if we believe an instruction breaches data protection law, unless prohibited.
  • People and security: authorized personnel are bound by confidentiality. We maintain technical and organizational measures appropriate to the service and risk, including access controls, encryption in transit, encrypted sensitive data at rest, tenant scoping, backups, logging, and incident response.
  • Subprocessors: you give general authorization for the infrastructure, communications, billing, and integration providers needed to run SideRelay. We remain responsible for their processing under our instructions and will provide information about material changes on request or through the Service.
  • Assistance: taking account of the processing and information available to us, we will reasonably help with data-subject requests, security obligations, impact assessments, and regulator consultations. You remain responsible for deciding and communicating the response.
  • Incidents: we will notify you without undue delay after confirming a personal data breach affecting Customer Data and provide reasonably available information.
  • Return and deletion: at the end of the Service, we delete or return Customer Data on request where reasonably available, unless law requires retention. Isolated backups are deleted on their normal expiry schedule.
  • Information: we will provide information reasonably necessary to demonstrate these commitments. Audits must be proportionate, protect other customers, use existing reports where sufficient, and be arranged in advance at the Customer's cost unless a confirmed breach is attributable to us.

The subject matter is server-side tracking and related service operation; the duration is the Service term plus deletion periods; the people and data are those chosen by the Customer, typically website visitors, customers, leads, account users, identifiers, consent states, device and activity data, and conversion details. The Privacy Policy describes default retention, provider categories, and transfers.

8. Google and other third-party services

Connecting Google sign-in, Google Tag Manager, Google Ads, another advertising platform, a webhook, domain, or other provider authorizes SideRelay to use the connection within the scopes shown to the user. You must have permission to connect the selected resource. Actions taken through a connected service are also governed by that provider's terms and policies.

Third-party services control their own availability, API behavior, review requirements, quotas, and acceptance decisions. SideRelay does not guarantee that a provider will accept, attribute, report, or act on an event. You may revoke a connection through the provider and may ask us to remove its stored credential.

9. Fees, usage, and payment

Plans, fees, included usage, billing periods, overage prices, and taxes are shown in the Order or subscription flow. Stripe processes online payments. By providing a payment method, you authorize charges due under the Order. Unless the Order or mandatory law says otherwise, paid fees are non-refundable after the relevant subscription period begins.

SideRelay measures billable usage from accepted canonical events, not script loads, retries, previews, blocked bots, or destination fan-out. Going over an included allowance does not by itself silently discard valid events; applicable overage charges and warnings continue as shown in the plan. We may suspend paid features for overdue undisputed amounts after reasonable notice.

10. Reliability and service changes

We design SideRelay to acknowledge an event only after durable ingestion and to retry eligible failures. Even so, internet services, customer configurations, source systems, and destination APIs can fail. You should keep appropriate source records and monitor SideRelay's activity and alerts for important conversion flows.

We may perform maintenance, respond to urgent security or reliability issues, and change technical details. We will give reasonable notice of a material reduction to paid core functionality when practical. Any service levels or support commitments apply only if stated in an Order.

11. Intellectual property

Illumetric and its licensors own SideRelay, including its software, design, documentation, templates, and trademarks. During the agreement, we give you a limited, non-exclusive, non-transferable right to use the Service for your internal business and permitted agency work. This does not transfer ownership of the Service.

If you provide feedback, you allow us to use it without restriction or payment, but we will not identify you publicly without permission. Third-party and open-source components remain subject to their own licenses.

12. Suspension and termination

You may stop using the Service or cancel renewal according to the Order. Either party may end the agreement for a material breach that is not fixed within 30 days after written notice, or immediately if the other party becomes insolvent. We may suspend affected access sooner when reasonably needed to prevent unlawful use, security harm, platform abuse, or ongoing failure to pay undisputed charges.

On termination, your right to use the Service ends. We will handle Customer Data according to the data-processing terms and Privacy Policy. Terms that by nature should continue—including payment, confidentiality, ownership, disclaimers, liability, and law—survive termination.

13. Warranties and disclaimers

Each party promises it has authority to enter this agreement. We will provide paid Services with reasonable skill and care. Except for that promise and to the fullest extent allowed by law, the Service is provided “as is” and “as available”. We do not promise uninterrupted or error-free operation, a particular advertising result, perfect attribution, provider acceptance, or that every customer configuration meets every legal requirement.

14. Liability

To the fullest extent allowed by law, neither party is liable for indirect, incidental, special, punitive, or consequential loss, or for lost profits, revenue, goodwill, or data, except where such loss cannot lawfully be excluded. Each party's total liability arising from the Service is limited to the fees paid or payable for the Service during the 12 months before the event giving rise to the claim.

The exclusions and cap do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, unpaid fees, breach of the other party's intellectual property rights, or liability that mandatory law does not allow the parties to limit. These limits apply in total across all legal theories.

15. General terms

We may update these Terms for future use of the Service. We will give reasonable notice before a material update takes effect, unless an urgent legal, security, or provider change requires a faster update. Continuing to use the Service after the effective date means the updated Terms apply.

Neither party may assign the agreement without the other's consent, except to an affiliate or as part of a merger, reorganization, or sale of substantially all relevant assets, if the assignee can perform the obligations. Neither party is liable for delay caused by events beyond reasonable control, except payment obligations. The parties are independent contractors.

These Terms, the Order, and documents they expressly incorporate are the entire agreement about the Service. If a provision is unenforceable, it will be adjusted only as much as needed and the rest remains effective. A failure to enforce a term is not a waiver.

16. Swedish law, courts, and contact

The agreement is governed by Swedish law, excluding its conflict-of-law rules. The courts of Sweden have exclusive jurisdiction, with Stockholm District Court (Stockholms tingsrätt) as the court of first instance. Before filing a claim, the parties will try in good faith for 30 days to resolve it through business representatives, unless urgent relief is needed.
